WinSpeak Terms of Use

These Terms of Use ("Terms") govern your access to and use of WinSpeak, an educational digital platform focused on interview preparation and professional communication training, including its website, mobile applications, software, and related features (collectively, the "WinSpeak Platform" or "Services").

WinSpeak is owned and operated by Nemesis Technologies LLC, duly organized under the laws of Wyoming ("Company," "we," "us," or "our").

By accessing or using the WinSpeak Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which applies specifically to WinSpeak and is incorporated herein by reference. If you do not agree with these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and the Company solely with respect to your use of WinSpeak. You represent that you have the legal capacity to enter into this agreement under applicable law.


1. Definitions

For purposes of these Terms, the following definitions apply:

  • "WinSpeak" means the specific digital product branded as WinSpeak, including its website(s), applications, and interfaces through which the Services are provided.

  • "WinSpeak Platform" or "Platform" means the digital environment through which WinSpeak is made available, including all related software, interfaces, and functionalities.

  • "Services" means the educational and practice-oriented tools offered through WinSpeak, including interview preparation simulations, professional and corporate communication training, oratory exercises, feedback mechanisms, and related features.

  • "User" or "you" means any individual who accesses or uses WinSpeak, whether registered or not.

  • "Account" means a user profile created to access certain features of WinSpeak.

  • "Educational Content" means structured lessons, exercises, prompts, simulations, and guidance provided through WinSpeak for educational and practice purposes.

  • "User Content" means any information, text, audio recordings, video recordings, responses, files, or other materials submitted, uploaded, or generated by you through WinSpeak.

  • "AI Features" means automated tools, conversational agents, algorithms, or artificial intelligence–assisted functionalities used within WinSpeak to support simulations, feedback, or content organization.

  • "Aggregated and De-Identified Data" means data derived from the use of WinSpeak that has been anonymized and aggregated in such a manner that it cannot reasonably be used to identify any individual.

  • "Subscription" means a paid plan that provides access to certain premium WinSpeak features on a recurring basis.

  • "Power-Ups" means optional, paid enhancements or add-ons offered specifically within WinSpeak.


2. Nature and Scope of the Services

WinSpeak provides educational and practice-oriented services designed to support the development of professional communication skills, including:

  • preparation for job interviews through simulated, non-technical interview scenarios;

  • training in professional and corporate communication, including clarity, confidence, storytelling, and oral expression;

  • communication practice applicable to workplace interactions, meetings, and presentations;

  • structured exercises involving written and spoken responses, including audio-based interactions;

  • feedback and insights intended to support learning, self-awareness, and continuous improvement.

The Services are educational and preparatory in nature only and are intended to help users practice and improve communication skills at their own pace. WinSpeak does not provide and expressly disclaims any form of:

  • professional, legal, financial, or technical advice;

  • recruitment, placement, or hiring services;

  • evaluation or certification of technical competence;

  • participation in real-world employment or promotion decisions.

Any references to professional fields, roles, or industries within WinSpeak are provided solely for contextual communication practice and do not constitute instruction, training, or guidance on technical or regulated subject matter.

Use of WinSpeak does not guarantee any specific outcome, including interviews, job offers, promotions, or career advancement. Outcomes depend on multiple factors beyond the control of the Company and the Platform.


3. Artificial Intelligence, Automated Features, and Conversational Interactions

WinSpeak uses automated systems, algorithms, and artificial intelligence–assisted features ("AI Features") to support certain functionalities of the Platform, including simulated dialogues, conversational interactions, response analysis, and feedback delivery. AI Features are designed to:

  • simulate conversational exchanges for practice purposes;

  • provide generalized, non-binding feedback related to communication style, structure, and clarity;

  • enhance the learning experience through automation and scalability.

Users acknowledge and agree that:

  • AI Features operate based on statistical models and pattern recognition;

  • outputs generated by AI Features may be incomplete, generalized, or inaccurate;

  • AI-generated responses are not tailored professional advice and should not be relied upon as definitive guidance.

WinSpeak does not perform automated decision-making within the meaning of applicable data protection laws and does not produce decisions that have legal, employment-related, or similarly significant effects on users.

AI Features do not replace human judgment, professional evaluation, or real-world decision-making processes. Any actions taken by users based on their use of WinSpeak remain solely their responsibility.


4. Eligibility and Age Requirements

WinSpeak is intended for use by individuals who meet the minimum age requirements applicable in their jurisdiction. By accessing or using the Platform, you represent and warrant that you meet the minimum age required to provide valid consent to data processing under the laws of your country of residence.

The Company does not knowingly offer the Services to individuals who do not meet the applicable age requirements. If the Company becomes aware that a user does not satisfy these requirements, it may suspend or terminate the user's Account and delete associated data in accordance with applicable law.


5. Account Registration and User Information

To access certain features of WinSpeak, you may be required to create an account ("Account"). When registering an Account, you agree to:

  • provide accurate, current, and complete information;

  • keep your Account information up to date;

  • ensure that any information you submit is truthful and not misleading.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree not to share your credentials with any third party. You acknowledge that:

  • the information you provide may include personal and professional details relevant to the Services;

  • certain features of WinSpeak rely on the accuracy of the information you submit in order to function properly;

  • you are responsible for the content and accuracy of any User Content you submit through the Platform.

The Company is not responsible for any loss, damage, or unauthorized access resulting from your failure to safeguard your Account credentials or from inaccurate or incomplete information provided by you.

The Company reserves the right to suspend or terminate Accounts that contain false, misleading, or incomplete information, or that are used in violation of these Terms.


6. User Content and Data Use

WinSpeak allows users to submit, upload, record, or otherwise generate content through the Platform, including but not limited to written responses, audio recordings, video recordings, and other materials ("User Content").

6.1 Ownership of User Content

You retain ownership of your User Content. Nothing in these Terms transfers ownership of your User Content to the Company.

6.2 License and Permitted Use

By submitting User Content through WinSpeak, you grant the Company a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, process, analyze, reproduce, and display such User Content as reasonably necessary to:

  • operate, maintain, and improve WinSpeak;

  • enable communication practice, simulations, feedback, and learning experiences;

  • develop, test, and enhance products, services, and technologies offered by the Company;

  • ensure platform security, quality, and compliance with legal obligations.

This license does not permit the Company to publicly distribute, market, or commercialize User Content in an identifiable form.

6.3 Aggregated and De-Identified Data

The Company may generate data derived from User Content and Platform usage that has been aggregated, anonymized, or de-identified in such a manner that it cannot reasonably be used to identify any individual ("Aggregated and De-Identified Data").

The Company may use such Aggregated and De-Identified Data for internal, analytical, research, development, and lawful commercial purposes, including across its products, services, and business operations.

The Company commits not to attempt to re-identify such data and to apply reasonable technical and organizational measures to prevent re-identification.

Personal data processing and user rights related to access, correction, deletion, or objection are governed exclusively by the Privacy Policy.

6.4 Responsibility for User Content

You are solely responsible for your User Content and represent that you have all rights necessary to submit such content through the Platform. You agree not to submit User Content that infringes third-party rights, violates applicable law, or is unlawful, misleading, abusive, or harmful.


7. Subscriptions, Free Features, and Power-Ups

WinSpeak may offer a combination of free features ("Freemium") and paid features, including subscriptions and optional enhancements ("Power-Ups").

7.1 Subscriptions

Subscriptions provide access to certain premium features for a recurring fee. Subscription terms, pricing, billing cycles, renewal conditions, and cancellation options will be disclosed at the time of purchase.

Unless otherwise stated, subscriptions renew automatically until canceled by the user in accordance with the applicable billing terms.

7.2 Power-Ups

Power-Ups are optional, paid features or enhancements offered on a one-time or limited-use basis. Power-Ups do not alter the educational nature of the Services and do not guarantee any specific outcome or result.

7.3 Billing and Payments

All payments are processed through authorized third-party payment providers. You agree to provide accurate billing information and authorize the Company to charge applicable fees.

Fees are non-refundable except where required by applicable law or expressly stated at the time of purchase.

7.4 Changes to Pricing and Features

The Company reserves the right to modify pricing, features, or the availability of subscriptions or Power-Ups from time to time, subject to applicable consumer protection laws.

Where such changes materially affect paid features, the Company will provide reasonable advance notice, which will generally be at least thirty (30) days, before such changes take effect. Users may cancel their subscriptions before the effective date of the changes in accordance with the applicable billing terms.


8. Acceptable Use of the Platform

You agree to use WinSpeak in compliance with these Terms and all applicable laws and regulations. You agree not to:

  • use the Platform for unlawful, fraudulent, or deceptive purposes;

  • submit content that infringes intellectual property, privacy, or other rights of third parties;

  • misrepresent WinSpeak outputs as professional, legal, financial, or hiring advice;

  • attempt to reverse engineer, scrape, or interfere with the Platform or its systems;

  • use automated tools or scripts to access or interact with the Platform without authorization;

  • misuse the Platform in a manner that disrupts its integrity, security, or availability.

The Company reserves the right to suspend or terminate access to WinSpeak for violations of this section.


9. Intellectual Property Rights

All intellectual property rights related to WinSpeak, including but not limited to software, source code, algorithms, models, interfaces, designs, trademarks, logos, educational materials, and platform features (excluding User Content), are owned by or licensed to the Company and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use WinSpeak solely for your personal, non-commercial use in accordance with the Services provided.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or otherwise exploit any portion of WinSpeak except as expressly permitted by these Terms.


10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, reputational harm, or employment-related outcomes, arising out of or related to your use of or inability to use WinSpeak.

Without limiting the foregoing, the Company shall not be liable for any damages resulting from:

  • reliance on feedback, simulations, rankings, or outputs generated through the Platform;

  • decisions made by users based on their use of WinSpeak;

  • interruptions, errors, or technical limitations of the Platform.

In no event shall the Company's total aggregate liability exceed the amount paid by you to the Company for WinSpeak.


11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your access to or use of WinSpeak;

  • your violation of these Terms;

  • your User Content;

  • your violation of any applicable law or regulation;

  • your infringement of any third-party rights.

This indemnification obligation shall survive termination of your use of WinSpeak.


12. Suspension and Termination

The Company may, at its sole discretion, suspend or terminate your access to WinSpeak, with or without prior notice, if:

  • you violate these Terms;

  • your use of the Platform poses legal, security, or operational risks;

  • such action is required to comply with applicable law or legal process.

You may discontinue use of WinSpeak at any time by ceasing to access the Platform.

Upon termination, your right to access WinSpeak will immediately cease. Provisions which by their nature should survive termination shall prevail, including but not limited to Sections relating to intellectual property, limitation of liability, indemnification, and governing law.

Notwithstanding the foregoing, if a User with an active Subscription voluntarily discontinues use, access shall be maintained until the end of the then-current paid subscription period.


13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of WinSpeak shall be resolved through binding arbitration on an individual basis, and not in a class, collective, or representative action, except where such waiver is prohibited by applicable law.

Nothing in this section shall limit any non-waivable statutory rights available to consumers under applicable law.

To the fullest extent permitted by applicable law, the parties agree that the arbitrator shall not have authority to award punitive or exemplary damages.

In any arbitration or legal proceeding arising out of or relating to these Terms, the arbitrator or court may award reasonable attorneys' fees and costs to the prevailing party where such an award is permitted under applicable law and does not conflict with mandatory consumer protection provisions.


14. Changes to the Terms

The Company may update these Terms from time to time to reflect changes in the Services, legal requirements, or business practices. Updated Terms will be effective upon posting on the WinSpeak Platform. Your continued use of WinSpeak after such updates constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must discontinue use of WinSpeak.

We do not attempt to re-identify anonymized data and implement reasonable safeguards to prevent re-identification.

This right applies only to information processed based on contractual necessity or consent and does not include proprietary analytics, internal evaluations, or anonymized data.

Where processing is based on consent, you may withdraw your consent at any time. Withdrawal of consent does not affect the lawfulness of processing carried out prior to such withdrawal.
